Welcome to HANDL. These Terms & Conditions (“Terms”) govern your access to and use of the HANDL website, mobile applications, services, marketplace features, booking systems, payment systems, and related platforms (collectively, the “Services”).
By accessing, browsing, registering for an account, booking a service, using a Wallet, acting as a Provider, or otherwise using any part of the Services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Services immediately.
1. Definitions
For purposes of these Terms:
- “HANDL” refers to HANDL, its owners, operators, affiliates, successors, assigns, employees, representatives, contractors, and authorized agents.
- “Client” refers to any individual, business, organization, or entity requesting, purchasing, booking, or receiving Services through HANDL.
- “Provider” (referred to on the HANDL platform as a Handler) refers to any independent individual, contractor, freelancer, company, organization, or business approved or authorized to offer services through the HANDL platform. A Handler is the trusted person who helps Clients handle their everyday tasks, needs, and small challenges through the HANDL platform.
- “Partner” refers to any third-party company, contractor, specialist, vendor, or service provider engaged by HANDL to assist with or fulfill certain service requests.
- “Services” refers to all services offered directly by HANDL, through Providers, through Partners, or through any combination thereof.
- “Wallet” refers to any stored-value balance, credits, promotional credits, deposits, prepaid funds, or account balances maintained within the HANDL platform.
2. Nature of the Platform
HANDL operates as a service provider, service coordinator, marketplace, booking platform, and technology platform.
Depending on the nature of a service request, Services may be:
- Provided directly by HANDL;
- Provided by an independent Provider;
- Provided by a Partner;
- Provided through a combination of the above.
HANDL reserves the right to determine the most appropriate method of fulfilling any service request based on operational capacity, location, scheduling requirements, expertise, legal requirements, service availability, and other business considerations.
HANDL may assign, subcontract, coordinate, delegate, or facilitate service fulfillment through qualified Providers or Partners at its sole discretion.
3. Eligibility
You must be at least eighteen (18) years of age to create an account, book services, act as a Provider, use the Wallet system, or otherwise use the Services.
By using the Services, you represent and warrant that:
- You are at least 18 years old;
- You have legal authority to enter into binding agreements;
- You will comply with all applicable laws and regulations;
- The information you provide is accurate and complete.
4. Account Registration
Certain Services require account registration.
When creating an account, you agree to:
- Provide accurate and current information;
- Maintain and update your information as necessary;
- Protect the confidentiality of your login credentials;
- Accept responsibility for activities occurring under your account.
You are solely responsible for safeguarding your account credentials and for any activity conducted under your account.
HANDL reserves the right to suspend, restrict, or terminate accounts that violate these Terms or present security, fraud, legal, operational, or business concerns.
5. Client Accounts
Clients may use the Services to:
- Request services;
- Book appointments;
- Purchase services;
- Communicate with Providers;
- Communicate with HANDL;
- Maintain Wallet balances;
- Access invoices, receipts, and booking history;
- Manage account preferences.
Clients are responsible for providing accurate service details and maintaining respectful communications with Providers, Partners, and HANDL personnel.
6. Provider Accounts
HANDL may allow independent Providers to register and offer services through the platform.
Provider approval may require:
- Identity verification;
- Business verification;
- Professional qualifications;
- Insurance verification where applicable;
- Background reviews where permitted by law;
- Additional documentation requested by HANDL.
Approval is granted solely at HANDL’s discretion and may be revoked at any time.
Providers remain independent contractors and are not employees, agents, joint venture partners, franchisees, or representatives of HANDL unless expressly stated in writing.
7. Partner Services
HANDL may engage specialized Partners to fulfill requests that require expertise, geographic coverage, licensing, resources, or capabilities beyond those available directly through HANDL or its Providers.
Clients acknowledge that certain services may be delivered by Partners selected by HANDL.
Partner selection shall be made at HANDL’s sole discretion.
8. Service Requests and Bookings
All service requests are subject to acceptance, availability, scheduling, operational feasibility, and applicable legal requirements.
Submission of a request does not guarantee acceptance or fulfillment.
HANDL reserves the right to:
- Decline requests;
- Modify scheduling arrangements;
- Request additional information;
- Refer requests to Providers or Partners;
- Cancel requests that cannot reasonably be fulfilled.
9. Pricing and Payments
Service pricing may vary depending on service type, complexity, location, duration, urgency, Provider rates, Partner fees, taxes, surcharges, and other operational factors.
By submitting payment, you authorize HANDL and its authorized payment processors to charge the applicable fees associated with your requested Services.
Payments may be processed through Stripe, PayPal, WooCommerce Payments, financial institutions, or other approved payment providers.
10. Wallet and Account Credits
HANDL may offer Wallet functionality allowing Clients and Providers to maintain account balances, deposits, prepaid funds, promotional credits, refunds, earnings, incentives, or other approved credits within the platform.
Wallet balances may be used exclusively for transactions authorized through the HANDL platform unless otherwise permitted by HANDL.
HANDL reserves the right to:
- Verify the source of deposited funds;
- Place temporary holds on transactions;
- Limit Wallet activity;
- Suspend Wallet functionality;
- Reverse fraudulent transactions;
- Investigate suspicious activity;
- Require identity verification.
Promotional credits, bonuses, referral rewards, and other non-cash credits may be subject to restrictions, expiration dates, limitations, or forfeiture conditions.
HANDL reserves the right to correct accounting errors, pricing errors, duplicate credits, processing errors, and system-related inaccuracies.
11. Provider Compensation
Providers may receive compensation for completed services through the HANDL platform.
Provider earnings may be subject to:
- Platform fees;
- Transaction fees;
- Payment processing fees;
- Taxes;
- Chargebacks;
- Refund adjustments;
- Dispute resolutions;
- Other authorized deductions.
HANDL reserves the right to establish, modify, or discontinue commission structures, payout schedules, fees, incentives, bonuses, and compensation programs.
Providers are solely responsible for their own taxes, licenses, permits, insurance, registrations, and legal compliance obligations.
12. Cancellations
Cancellation policies may vary depending on the nature of the requested Service, Provider requirements, Partner requirements, scheduling commitments, travel arrangements, and operational considerations.
Clients may cancel Services subject to applicable cancellation fees, notice requirements, and refund policies.
Providers may cancel accepted bookings only when reasonably necessary and in accordance with HANDL policies.
HANDL reserves the right to cancel, suspend, postpone, reschedule, or refuse Services when necessary for operational, legal, safety, security, scheduling, weather-related, or business reasons.
13. Refunds
Refund eligibility shall be determined in accordance with HANDL’s Refund Policy and applicable law.
Not all Services are refundable.
Refund decisions may consider:
- Service completion status;
- Time invested;
- Provider compensation obligations;
- Partner expenses;
- Administrative costs;
- Payment processing costs;
- Customer conduct;
- Evidence submitted during dispute reviews.
HANDL reserves the right to issue full refunds, partial refunds, account credits, Wallet credits, service credits, or no refund depending on the circumstances.
14. User Conduct
Users agree to use the Services responsibly, professionally, and lawfully.
Users shall not:
- Provide false or misleading information;
- Harass, threaten, intimidate, or abuse others;
- Interfere with platform operations;
- Attempt to bypass platform fees;
- Circumvent bookings made through HANDL;
- Misrepresent identity or authority;
- Engage in fraudulent activity;
- Violate applicable laws or regulations.
HANDL reserves the right to suspend or terminate accounts involved in misconduct.
15. Prohibited Activities
The Services may not be used for unlawful, dangerous, fraudulent, abusive, deceptive, or unauthorized activities.
Prohibited activities include, but are not limited to:
- Illegal transactions;
- Money laundering;
- Human trafficking;
- Fraudulent schemes;
- Identity theft;
- Unauthorized surveillance;
- Distribution of malicious software;
- Harassment or discrimination;
- Violations of intellectual property rights;
- Activities prohibited under applicable laws.
HANDL reserves the right to cooperate with law enforcement agencies and governmental authorities when required by law.
16. Intellectual Property
All content, trademarks, logos, graphics, software, designs, text, databases, workflows, branding elements, service marks, and intellectual property associated with HANDL remain the exclusive property of HANDL or its licensors.
No portion of the Services may be copied, reproduced, distributed, modified, reverse engineered, sold, licensed, or exploited without prior written authorization.
Nothing contained within the Services grants ownership rights or licenses except as expressly provided by these Terms.
17. Service Availability
HANDL strives to maintain continuous access to its Services but does not guarantee uninterrupted availability.
Services may be unavailable due to:
- Maintenance;
- Technical failures;
- Security incidents;
- Third-party outages;
- Force majeure events;
- Legal restrictions;
- Operational limitations.
HANDL may modify, suspend, discontinue, expand, or restrict any aspect of the Services at any time without prior notice.
18. Disclaimer of Warranties
The Services are provided on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis to the fullest extent permitted by applicable law.
HANDL makes no representations, warranties, or guarantees of any kind, express or implied, regarding:
- The availability of the Services;
- The accuracy of information provided through the platform;
- The quality of services performed by Providers or Partners;
- The suitability of Services for a particular purpose;
- The uninterrupted or error-free operation of the platform;
- The security of third-party systems or networks.
HANDL expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing or performance.
19. Limitation of Liability
To the fullest extent permitted by law, HANDL, its owners, officers, directors, employees, affiliates, agents, contractors, Providers, Partners, licensors, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or economic damages arising out of or related to:
- Use of the Services;
- Inability to access the Services;
- Service delays;
- Service interruptions;
- Booking disputes;
- Provider conduct;
- Partner conduct;
- Data loss;
- Business interruption;
- Loss of profits;
- Loss of revenue;
- Loss of opportunities;
- Third-party actions;
- Unauthorized access;
- Cybersecurity incidents.
In no event shall HANDL’s aggregate liability exceed the amount actually paid by the Client to HANDL for the specific Service giving rise to the claim during the twelve (12) months preceding the event.
Certain jurisdictions may not permit certain liability limitations. In such cases, liability shall be limited to the maximum extent permitted by applicable law.
20. Independent Providers and Partners
Providers and Partners operate as independent businesses or independent contractors unless expressly stated otherwise.
HANDL does not control every aspect of the activities, methods, schedules, business operations, licensing, insurance coverage, staffing decisions, or professional judgments of independent Providers and Partners.
Clients acknowledge that services may be performed by independent third parties whose actions may not be fully controlled by HANDL.
Nothing contained in these Terms shall be interpreted as creating an employment relationship, joint venture, partnership, franchise, agency relationship, or fiduciary relationship between HANDL and any Provider or Partner.
21. Indemnification
You agree to defend, indemnify, and hold harmless HANDL, its owners, officers, directors, employees, affiliates, agents, Providers, Partners, contractors, licensors, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from:
- Your use of the Services;
- Your violation of these Terms;
- Your violation of applicable laws;
- Your negligence or misconduct;
- Your content or submissions;
- Your interactions with other users, Providers, or Partners.
22. Dispute Resolution and Mandatory Arbitration
HANDL is committed to resolving disputes efficiently and cost-effectively.
Before initiating arbitration or legal proceedings, the parties agree to first attempt to resolve disputes informally through good-faith negotiations.
If a dispute cannot be resolved informally, the dispute shall be resolved exclusively through final and binding arbitration rather than in court, except where prohibited by law.
The arbitration shall be conducted by a recognized arbitration provider selected by HANDL and shall be conducted in English unless otherwise required by law.
The arbitrator shall have exclusive authority to resolve disputes relating to these Terms, including questions concerning enforceability, interpretation, validity, and scope.
Judgment upon the arbitration award may be entered in any court having competent jurisdiction.
23. Class Action Waiver
To the fullest extent permitted by law, all disputes shall be conducted solely on an individual basis.
You waive any right to participate in:
- Class actions;
- Class arbitrations;
- Representative actions;
- Private attorney general actions;
- Collective proceedings.
No arbitration or proceeding may be consolidated with another matter without HANDL’s express written consent.
24. International Users
HANDL may provide Services to users located in multiple jurisdictions worldwide.
Users are responsible for complying with all laws, regulations, licensing requirements, import restrictions, export controls, tax obligations, and other legal requirements applicable to their jurisdiction.
HANDL makes no representation that the Services are appropriate, lawful, or available in every location.
25. Force Majeure
HANDL shall not be liable for delays, failures, interruptions, or inability to perform resulting from causes beyond its reasonable control, including:
- Natural disasters;
- Acts of government;
- War;
- Terrorism;
- Civil unrest;
- Labor disputes;
- Pandemics;
- Internet outages;
- Utility failures;
- Cyberattacks;
- Transportation disruptions;
- Third-party failures.
26. Changes to These Terms
HANDL reserves the right to modify, update, amend, replace, or discontinue these Terms at any time.
Updated versions shall become effective upon posting unless otherwise specified.
Continued use of the Services following publication of revised Terms constitutes acceptance of those revisions.
27. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
28. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, and any other policies incorporated by reference, constitute the entire agreement between HANDL and the user regarding the Services.
These Terms supersede all prior communications, understandings, proposals, representations, and agreements relating to the Services.
